Welcome to Woodzters. These Terms of Service (“Terms”) govern your access to and use of the Woodzters website (https://www.woodzters.com/), the Woodzters mobile application (the “App”), and any related services (collectively, the “Services”) provided by Woodzters LLC (“Woodzters,” “we,” “us,” or “our”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

  • Eligibility: You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that you are of legal age.

  • Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2. SUBSCRIPTIONS AND PAYMENTS

  • Fees: Access to certain features of the Services requires a paid subscription. All fees are quoted in U.S. Dollars.

  • Billing: By providing a payment method, you authorize us to charge the applicable recurring subscription fees.

  • Cancellations: You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of the current billing cycle. No refunds will be provided for partial months.

3. SMS AND MOBILE COMMUNICATION (A2P)

By providing your phone number and opting in to receive messages, you agree to the following:

  • Consent: You explicitly consent to receive recurring automated text messages (transactional and promotional) from Woodzters at the phone number provided or via our business number 929-299-NUTA. Consent is not a condition of purchase.

  • Opt-Out: You can opt-out of receiving SMS messages at any time by replying "STOP" to any message you receive. After opting out, you may receive one final message confirming your request.

  • Help: Reply "HELP" for customer service information or email us at info@woodzters.com.

  • Message & Data Rates: Standard message and data rates from your wireless carrier may apply. We are not responsible for any delays in receipt of messages.

4. ACCEPTABLE USE

You agree not to:

  • Use the Services for any illegal purpose or in violation of any local, state, or federal law.

  • Violate or encourage others to violate the rights of third parties (intellectual property, privacy, etc.).

  • Post or transmit any content that is defamatory, obscene, or harassing.

  • Attempt to interfere with the proper functioning of the Services or bypass any security measures.

5. INTELLECTUAL PROPERTY

The Services, including all text, graphics, logos, and software, are the property of Woodzters LLC or its licensors and are protected by copyright and trademark laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

6. TERMINATION

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without notice, if you breach these Terms or engage in conduct that we believe is harmful to other users or our business interests.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Woodzters LLC shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of the Services, even if we have been advised of the possibility of such damages. Our total liability to you shall not exceed the amount paid by you to Woodzters in the twelve months preceding the claim.

8. DISCLAIMER OF WARRANTIES

The Services are provided on an "as is" and "as available" basis. We disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.1

9. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action related to these Terms shall be brought exclusively in the courts located in Kings County, NY.

10. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
